Applicability to foreign corporations
In plain English: Explains which law applies to a derivative lawsuit brought on behalf of a foreign (out-of-state) corporation. Those matters are governed by the law of the state where the corporation is incorporated, except for the sections on staying proceedings, discontinuance or settlement, and payment of expenses (sections 10-3633, 10-3635, and 10-3636).
10-3637. Applicability to foreign corporations
In any derivative proceeding in the right of a foreign corporation, the matters covered by this article are governed by the laws of the jurisdiction of incorporation of the foreign corporation except for sections 10-3633, 10-3635 and 10-3636.
